WLA Bylaws
Organization Manual

WLA is legally required to operate according to its bylaws. Units, as part of WLA, need not have separate bylaws. Instead, unit boards should adopt and maintain operating policies and procedures to guide volunteer leadership in general decision-making, conference planning or other activities. While it is important to keep members informed about your unit's activities and major changes to operating policies and procedures, units need not have the approval of their members to make changes to these policy documents. The board vote on amendments is sufficient..

WLA bylaws address major governing issues such as election procedures, recall of officers, qualifications for membership, rules of order, as well as requirements of units. In addition, the WLA Organization Manual  provides more detail about association administration, fiscal policy, publishing, volunteer leadership structure, and membership policies.

The Organization Manual also contains the main policies and procedures of the WLA units. Unit policies may not contradict WLA bylaws. Units are also advised to avoid duplication of the WLA Bylaws, but may wish to include the following in their policies:

  • Name
  • Purpose and Responsibilities
  • Officers and Board
  • Committees
  • Nominations and Elections
  • Business meetings (if held; not required)
  • Dissolution
  • At the bottom:  Date of review by COO
  • Adoption by unit:

Submit any question or changes to the Committee on Organization.
